One round.
Without breaking
the cap table.
How a founder raises her first round with multiple angels and reaches the close with a cap table ready for due diligence.
Ten small tickets shouldn't cost you a broken cap table.
Every angel who comes in directly is a new line. Times ten, the round turns into noise: scattered signatures, document versions, and a table that's hard to explain to the next investor.
Many direct investors, many lines, future friction.
SAFEs in different versions, signed over email.
Documents sent one by one, with no access control.
Every SAFE comes in clean. The cap table stays investment-ready.
From cap table to close, in four steps.
The starting point: a clean cap table.
The company starts with two founders and an option pool. Three lines, in order from day one. The cap table is born right, not fixed later.

The round opens: SAFEs on the YC standard.
She creates the round and generates each SAFE on the YC Post-Money 2018 standard. Investors sign and wire from the same platform. Vefy shows the status of every ticket: signed, pending, funded.
The cap table absorbs the round.
Each SAFE enters as a traceable position, with its valuation cap and its discount. Vefy computes the conversion on the YC dilution standard. You see today and fully diluted, without spreadsheets.

Dataroom: one place, controlled access.
The round documents live in a dataroom with a folder structure. The founder shares by invitation and sees who entered and what they viewed. Nothing gets emailed twice.
Round closed. Next round already modeled.
With the cap table in order, the founder simulates the Series A before sitting down to negotiate: how much she dilutes, how the SAFEs convert, where the pool lands.
